Terms of Service

01Acceptance of Terms

By accessing or using the River platform (“Service”), operated by Kitawi Systems Limited (“we”, “us”, or “our”) at river.li, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

02Account Registration

You must provide accurate and complete information when creating an account. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at hello@river.li if you suspect unauthorized access.

03Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to other users’ accounts or infrastructure.
• Distribute malware, conduct denial-of-service attacks, or engage in abusive behavior.
• Reverse-engineer, decompile, or disassemble any part of the Service except as permitted by law.
• Resell or sublicense the Service without prior written consent.

04Intellectual Property

The Service, including its design, code, logos, and documentation, is owned by Kitawi Systems Limited and protected by intellectual property laws. Your data remains yours — we claim no ownership of content you store or process through River.

05Payment & Billing

Paid plans are billed through our payment processor, Paddle, who acts as the Merchant of Record. By subscribing, you agree to Paddle’s Terms of Service. All fees are stated at the time of purchase.

06Cancellations, Withdrawals & Refunds

You can cancel a subscription at any time with effect from the end of your current billing period. Your cancellation will take effect at the end of your current billing period, and you will not be charged again after that. You can cancel your subscription through the Paddle Buyer Portal, accessible via the link in your subscription confirmation email.

07Tax Refunds

Businesses which have been charged sales tax (including VAT, GST and similar consumption taxes) on their transaction may, if registered for that tax in the country of purchase, be entitled to a refund of the relevant tax amount if permitted by applicable laws in that country.

You must contact Paddle within 60 days of the relevant transaction date to be eligible for a sales tax refund. Any refund will be subject to you providing Paddle with a valid sales tax code or (where applicable, including in the US) tax exempt certificate for your country. Any requests received after 60 days from the transaction date may be declined, unless otherwise required by law in the relevant country.

08Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

09Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

10Limitation of Liability

To the maximum extent permitted by law, Kitawi Systems Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

11Termination

We may suspend or terminate your access at any time for violation of these Terms or for any reason with reasonable notice. You may close your account at any time. Upon termination, your right to use the Service ceases and we may delete your data after a reasonable retention period.

12Governing Law

These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes shall be resolved in the courts of Nairobi, Kenya.

13Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page with an updated effective date. Continued use after changes constitutes acceptance.
